Please read these Terms of Service ("Terms", "Terms of Service") carefully before using https://sublmnl.ca/ and its related services (the "Service") operated by Sublmnl ("us", "we", or “our").

Your access to and use of the Service is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who wish to access or use the Service.

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Service.

1. Service Description

Sublmnl provides a platform that allows users to create custom subliminal affirmation tracks by inputting personal goals or intentions, selecting a category and background music, and generating audio files designed to support subconscious influence and personal development. The Service uses AI to generate personalized affirmations based on the user’s input, which are then combined with music to create a unique audio experience.

2. Accounts

When you create an account with us, you represent and warrant that you are at least 16 years old, and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or outdated information may result in the immediate termination of your account.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account and/or password. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

3. User-Generated Content (Your Desires & Affirmations)

Ownership:

You retain all rights in and are solely responsible for the "desires" or "goals" and any other text or content you input into the Service to generate your custom subliminal audio ("User Content").

License to Sublmnl:

By submitting User Content, you grant Sublmnl a limited, worldwide, non-exclusive, royalty-free license to use, reproduce, and process that content solely for the purpose of generating your personalized subliminal audio track and making it available to you within your account. This license does not permit Sublmnl to store your User Content beyond what is necessary to complete the track generation, nor does it allow us to use your User Content to train or improve AI models. You retain all ownership rights in your User Content.

Prohibited Content:

You agree not to input any User Content that is:

• Illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
• Contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.
• False, misleading, or fraudulent.

Sublmnl does not endorse and has no control over any User Content. We are not responsible for any User Content and are not liable for any loss or damage of any kind incurred as a result of the use of any User Content.

4. Intellectual Property

All content, features, and functionality made available through the Service - including but not limited to the website design, code, audio tracks, text, graphics, logos, and other visual elements - are and will remain the exclusive property of Sublmnl and its licensors. The Service and its content are protected by copyright, trademark, and other applicable intellectual property laws in Canada and internationally. You may not copy, reproduce, modify, create derivative works of, publicly display, distribute, or use any part of the Service or its content without our prior written consent. The Sublmnl name, logo, and overall brand identity may not be used in connection with any product or service without our express written permission. You may not imply any association or endorsement without authorization.

5. Generated Audio Tracks and Grant of Limited License

This section governs the ownership of and your rights to use the custom subliminal audio tracks created by the Service (“Generated Tracks”). When you pay for the creation of a Generated Track, you are not purchasing the audio file itself, but rather a limited license to use it in accordance with these Terms.

Ownership of Generated Tracks

You acknowledge and agree that while you retain all ownership rights to your specific User Content (as defined in Section 3), the final Generated Track is a distinct, composite work owned exclusively by Sublmnl. Sublmnl and its licensors are the sole and exclusive owners of all rights, title, and interest in and to all Generated Tracks, including, without limitation, all intellectual property rights covering:

• The unique arrangement, mixing, and engineering of the final audio file; and
• The sound recording as copyrighted work.

Grant of Limited License

Upon Sublmnl’s receipt of your full payment for a Generated Track, you are granted a limited, personal, non-commercial, non-transferable, non-sublicensable, and revocable license to access the Generated Track through your Sublmnl account for your private, personal development purposes only.

Restrictions and Prohibited Uses

The license granted in Section 5.2 is strictly conditioned upon your adherence to the following restrictions. Any use of a Generated Track not expressly permitted herein is a material breach of these Terms and an infringement of Sublmnl's intellectual property rights. You shall not, under any circumstances:

• Engage in Commercial Exploitation: Sell, resell, rent, lease, sublicense, or otherwise use any Generated Track in exchange for payment or for any other commercial purpose.
• Distribute or Publicly Perform: Share, upload, post, or otherwise distribute a Generated Track on any third-party platform, including but not limited to social media (YouTube, TikTok, etc.), video or audio-hosting websites, file-sharing services, or podcasts. You shall not publicly perform or broadcast any Generated Track in any commercial or public setting (e.g., spas, clinics, workshops, retail locations).
• Create Derivative Works: Modify, edit, remix, sample, alter, or create any derivative works from any part of a Generated Track, including separating its audio components.

Duration of License

Individual Purchases:

For a track purchased individually, your license to access it shall continue for as long as your account with Sublmnl remains active and in good standing.

Subscription-Based Access:

For tracks created under a subscription plan, your license to access them is contingent upon your subscription remaining active. Should your subscription be cancelled or expire, your license and access to those tracks will be automatically revoked. You may be provided with an option to purchase an ongoing license to such tracks at that time.

Breach of License

Sublmnl reserves all rights not expressly granted to you in these Terms. Any unauthorized use of a Generated Track will be deemed a material breach of this Agreement. In such an event, Sublmnl reserves the right to immediately terminate your account and access to the Service without notice or refund, and to pursue all available legal remedies to the fullest extent of the law, including seeking monetary damages and injunctive relief for copyright infringement.

6. Disclaimer of Warranties; Limitation of Liability

No Medical Advice:

The Service is intended for personal development and manifestation support. It is not a substitute for professional medical, psychological, or psychiatric advice, diagnosis, or treatment. Always seek the advice of a qualified health provider with any questions you may have regarding a medical condition.

No Guarantee of Results:

The Service is provided as a tool designed to support your personal growth and manifestation practices. While our website may include statements about the potential effects of the Service, we do not guarantee any specific outcomes or results from its use. Individual results may vary based on personal belief, effort, and other factors outside of our control.

“AS IS” and “AS AVAILABLE” Basis

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. Sublmnl makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, or materials included therein.

Limitation of Liability:

In no event shall Sublmnl, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

7. Termination & Cancellation

We may suspend or terminate your account if you materially breach these Terms, violate applicable laws, or misuse the Service. We will provide notice and an opportunity to remedy the issue, unless the breach is serious or ongoing.

We also reserve the right to terminate or discontinue the Service, or your account, for operational or business reasons not related to a breach (“termination for convenience”). In such cases, we will provide reasonable advance notice. If you have a paid subscription at the time of such termination, you will be entitled to a pro-rata refund for any unused portion of your subscription.

You may terminate your account at any time by contacting us. Upon termination, your access to the Service will cease, and any data associated with your account will be handled in accordance with our Privacy Policy.

You may cancel your subscription at any time through your account settings. Cancellation will stop future billing, and your access to subscription features will continue until the end of the current billing period.

8. Email Communications (Non-Marketing)

By creating an account and accepting these Terms, you agree to receive essential non-marketing emails from Sublmnl. These include account confirmations, password resets, order and activity notifications, responses to forms you submit, and notices about account changes or deletion. These emails are required for the Service and cannot be opted out of except by deleting your account.
Marketing emails are separate and sent only if you explicitly opt in. You may unsubscribe from marketing emails at any time.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts of the city of Toronto, Ontario.

10. Changes to These Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
